WiseMind Affiliate Program Terms and Conditions

1. Overview & Program Enrollment

By applying to or participating in the WiseMind Affiliate Program, you agree to be legally bound by these Terms and Conditions. This program is designed to allow independent creators, clinicians, and partners to ethically promote our content. Your participation is strictly for the purpose of legally advertising our platforms to receive a commission on qualifying subscriptions purchased by individuals you directly refer. WiseMind reserves the right to review, approve, or reject any affiliate application at our sole discretion.

2. Relationship of Parties

Nothing in this Agreement shall construe an agency, partnership, joint venture, or employment relationship between you and WiseMind. You are participating as an independent contractor. You have no authority to bind WiseMind into any contract, agreement, or obligation, nor may you represent yourself as an employee, agent, or legal representative of WiseMind.

3. Cookie Tracking & Referral Attribution

To ensure accurate tracking and fair credit for your referrals, the program utilizes the following digital attribution architecture:

• 60-Day Cookie Window: When a user clicks your unique affiliate tracking link, a browser cookie is set with a 60-day lifespan. If the user purchases a qualifying subscription within 60 days of the initial click, the sale will be attributed to your account.
• Last-Click Attribution: The program operates strictly on a last-click model. If a prospective user interacts with multiple affiliate links prior to purchasing, the last affiliate link clicked before the transaction is finalized receives sole credit for the commission.
• Cookie Limitations: Commissions cannot be tracked or credited if a user clears their browser cookies, uses a different browser, or utilizes private browsing modes that block tracking scripts prior to completing their subscription.

4. Commission Architecture & Exclusions

Commissions are earned strictly on qualifying, net-new user subscriptions to the WiseMind platform. The flat-fee payout structure is defined as follows:

• Monthly Subscriptions: A flat commission of US$10 for each verified new US$15 Monthly subscription.
• Annual Subscriptions: A flat commission of US$20 for each verified new US$120 Annual subscription.
• Scope & Exclusions: Commissions apply only to the initial subscription purchase and do not extend to subsequent recurring renewals, administrative fees, or separate standalone products unless explicitly stated in writing. No commissions will be paid on transactions that are flagged as fraudulent, self-referrals (purchasing through your own link), or transactions that violate our promotional guidelines.

5. Payout Threshold & Balance Rollover

• Minimum Payout Threshold: To streamline administrative overhead and prevent the processing of micro-payments, an account must reach a minimum accrued balance of US$50 to trigger a payout event.
• Balance Rollover: If your account balance is below US$50 at the close of a monthly billing cycle, the balance will automatically and safely roll over to the following month. Earnings will continue to accumulate until the aggregate approved balance meets or exceeds the US$50 threshold.

6. Payment Terms, Schedule, & Validation

• Net-30 Payment Schedule: Approved payouts are processed on a monthly net-37 basis. This means eligible commissions are paid within 37 days following the close of the month in which they were formally cleared.
• Validation Window: Commissions do not vest immediately upon user checkout. To protect the platform against fraud and transactional volatility, all commissions are subject to a validation period. Payouts are authorized only after the standard customer refund and chargeback window has closed, ensuring the transaction is fully settled and non-refundable.
• Tax Responsibilities: Affiliates operate as independent contractors. You are solely responsible for reporting and paying any applicable local, state, or federal taxes due on earnings received through the program.

7. Ethical Promotion, Brand Standards & Compliance

As an affiliate, you represent the external face of our evidence-based, therapy-informed pathways. You agree to adhere to high ethical standards:

• No Deceptive Claims: You must not make false, exaggerated, or misleading therapeutic guarantees regarding our protocols (including our depression, anxiety, trauma, or financial stress modules). All promotional copy must align with WiseMind's clinical framing.
• Prohibited Traffic Methods: Bidding on trademarked terms (e.g., "WiseMind", "Byron Clinic") in search engine advertising, spamming forums, mimicking the official website, or sending unsolicited bulk emails (SPAN) containing your link is strictly prohibited and grounds for immediate termination.
• FTC & Regulatory Compliance: You must clearly and conspicuously disclose to your audience that you earn a financial commission if they purchase a subscription through your link, in compliance with standard consumer protection guidelines.

8. Intellectual Property Licenses

During the term of your participation in the Affiliate Program, WiseMind grants you a non-exclusive, non-transferable, revocable right to use our approved banners, logos, trade names, and promotional copy solely for the purpose of identifying yourself as a participant in the program and driving traffic to our platform. You may not alter, modify, or manipulate any creative materials provided by WiseMind without prior written consent. All goodwill generated by your use of these assets inures solely to WiseMind.

9. Limitation of Liability

WiseMind will not be liable for any indirect, incidental, special, consequential, or exemplary damages (including, without limitation, loss of revenue, profits, goodwill, use, or data) arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commission fees paid or payable to you under this Agreement during the three (3) months immediately preceding the event giving rise to the liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless WiseMind, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with your participation in the Affiliate Program, your breach of this Agreement, or your negligent or wrongful acts or omissions in promoting our services.

11. Modification & Termination

WiseMind reserves the right to modify, amend, or terminate any aspect of the Affiliate Program at any time. This includes, without limitation, updating commission rates, altering payout structures, or modifying tracking windows. Continued participation in the program following the publication of revised terms constitutes your explicit acceptance of the changes. Either party may terminate participation in this program at any time, with or without cause, upon written notice. Upon termination, all rights and licenses granted to you under this Agreement cease immediately, and you must remove all tracking links and brand assets from your platforms.

12. Governing Law and Jurisdiction

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Cook Islands, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in the Cook Islands, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
